       It has been so many weeks since I met with you, Rex and Tom Gerhard
that I thought I should just tell you we have certainly not forgotten
Standard & Poor's. We are still formulating our fee structure and since
that was a "bottom line" question which you raised, we wanted to not make
a formal proposal until that is part of it. My guess is that it will be a 
few more weeks.

	We have made a decision to unbundle the Clickshare(SM) server 
software for those content owners who wish to license the charge-per-page 
facility without having to front the Newshare(SM) brand name. In this way 
you maintain complete "ownership" of your own customers while enabling 
them to reach other charge-per-page sites using the Clickshare service, 
which operates anonymously underneath your "brand."
