                    NON-DISCLOSURE AGREEMENT
 
     1. This Agreement is between and among Newshare Corp., a Massachusetts 
corporation of One Bank Street, Williasmtown, Mass., (hereinafter "Newshare") 
and:

          (hereinafter "the Bound Parties") 
 
   2. The purpose of this agreement is to ensure that any patentable, 
proprietary or trade-secret interest or right(s) claimed by the Newshare Corp. 
are respected and protected by the Bound Parties. 
 
   3. The Bound Parties hereby agree that any information received from 
Newshare Corp. or its corporate officers, whether on paper, electronically, by 
electronic mail, or in any usable form, are confidential and also may 
constitute "trade secrets" and are not to be copied, forwarded, duplicated, 
referred to or otherwise transferred in form or substance to anyone other than 
the Bound Parties without the prior written consent of Newshare Corp. 
 
   4. The Bound Parties specifically agree not to disclose any of the above-
described information or documents to any other individual or entity, nor make 
any use, commercial or otherwise, of said information or ideas without prior 
written approval from Newshare Corp. 
 
 
     5. Newshare Corp. agrees not to assert trade secret, proprietary or 
copyright protection for anything which, in its sole determination, is not 
lawfully entitled to such protection. 
 
     6. In the event any of the Bound Parties breaches this Agreement, it may 
be enforced by an injunction restraining the Bound Party from commission of 
such breach. Nothing contained herein shall be construed as prohibiting 
Newshare from pursuing any other remedies available to it for such breach. 
 
     7. This Agreement may be amended or modified only by a written agreement 
of the parties. This Agreement shall be deemed a sealed instrument to be 
construed and enforced in accordance with laws of the state of Massachusetts.
